Elevate Labs reserves the right to assign, transfer, or delegate these Terms and any associated rights or obligations to any third party without your consent or notice. This provision is specifically intended to facilitate any future merger, acquisition, sale of assets, corporate reorganization, or change in control. You may not assign or transfer your rights under these Terms without our prior written consent.

8. Governing Law & Dispute Resolution

  • A. Current Jurisdiction: Initially, these Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising hereunder or related to your use of the Site shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv-Jaffa, Israel.

  • B. Future Relocation (Dynamic Jurisdiction): Notwithstanding the foregoing, in the event that Elevate Labs relocates its principal place of business, headquarters, or center of operations to another jurisdiction (whether within Israel or internationally), the governing law and exclusive venue for any dispute shall automatically change to the laws and competent courts of the state or country where Elevate Labs’ principal place of business is located at the time the dispute arises. Elevate Labs retains sole discretion to determine its principal place of business.

9. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
